A Deadline Sitting at a Round Number
Few equities carry a calendar entry as specific as GameStop's. At 5 p.m. New York time on Friday 30 October, the warrants distributed to shareholders in October 2025 stop existing. Each one converts a $32 cash payment into a single share. Up to 59,153,963 shares stand behind them, and by 1 August only 2,534 had been exercised.
From the 9 October close of $26.56, the stock must climb 20.5% to touch that strike. Clear it and the company collects roughly $1.89 billion while issuing about 59 million shares, equal to 11.7% of the current count. Fail and the instruments lapse quietly. A hard date attached to a round number draws attention on its own.
Six Weeks of Closing Prices
The run started with earnings. On Wednesday 9 September, the first session after the second-quarter release, the shares added 5.3% to $19.89. They crossed $24 on 22 September, slipped 6.5% to $23.39 on 25 September, then drifted between $23.76 and $25.28 before the 9 October jump of 5.1%.
Measured from the 8 September close of $18.89, that is a 40.6% advance. Against the 28 August close of $17.87, the six-week gain reaches 48.6%. Volume on 9 October hit 16.3 million shares, the heaviest since 3 August, when the stock dropped 12.25% on 41.7 million shares as GameStop disclosed a swap of $1.4 billion of convertible notes for equity.
Fewer Sales, Far More Profit
The quarter ended 1 August and was published on 8 September. Revenue shrank while earnings expanded — an unusual combination that explains much of the market's reaction.
- Net sales: $790.2 million, down 18.7% from $972.2 million, blamed on last year's Nintendo Switch 2 launch, planned store closures and the sale of the French business.
- Collectibles: $356.3 million, up 57%, now 45.1% of the total. Video games fell to $263.2 million from $494.6 million; pre-owned and refurbished to $170.7 million from $250.0 million.
- Operating income: $160.2 million versus $66.4 million, a record for any GameStop second quarter, helped by SG&A falling to $187.1 million from $218.8 million.
- Net income: $298.7 million, or $0.51 a diluted share, against $168.6 million.
- Adjusted EBITDA: $174.0 million against $75.7 million, with full-year guidance lifted to more than $650 million from more than $600 million.
Reported profit carries about $238 million of net gains on the eBay position, trimmed by a $75.0 million bitcoin loss. Adjusted net income was $161.1 million, or $0.27 a share, versus $0.25. Free cash flow slipped to $60.7 million from $113.3 million.
Where the Treasury Went
At 1 August the company held $4.85 billion in cash and equivalents, $206.0 million in marketable securities and $294.1 million in digital assets and related receivables — $5.35 billion combined. Twelve months earlier, cash alone stood at $8.69 billion.
The gap is eBay. Per the 10-Q, GameStop built exposure to 39,046,658 shares through paired put and call options, exercised them on 15 July for $3.96 billion at an average $101.30, then bought 4,343,725 more in the open market for $472.3 million. Total: 43,390,383 shares, 9.8% of eBay, around $4.43 billion in cash.
The holding was marked at eBay's 31 July close of $114.01. Should eBay finish October near $112.19, the third quarter will book an unrealised loss of roughly $79 million on it.
The bitcoin line is no longer plain bitcoin. GameStop acquired 4,710 coins for $500 million in 2025, then pledged 4,709 to Coinbase as collateral for a covered-call programme. Because Coinbase may re-pledge or sell them, the asset became a receivable valued at $294.1 million, about 41% below cost. Separately, August's exchange retired $400 million of 2030 notes and $1.0 billion of 2032 notes for roughly 55.5 million shares plus $358.4 million in cash, cutting long-term debt to about $2.8 billion and lifting the count to 504,500,990 on 3 September.
Sum of the Parts
| Item | Amount |
|---|---|
| Cash, securities, digital-asset receivable (1 Aug) | $5.35 billion |
| Cash paid in the August note swap | –$358.4 million |
| eBay stake at $112.19 | $4.87 billion |
| Convertible debt | –$2.8 billion |
| Net portfolio value | about $7.06 billion ($14.00 a share) |
| Market capitalisation at $26.56 | $13.40 billion |
| Implied value of operations | about $6.3 billion ($12.56 a share) |
That residual works out near 9.7 times the adjusted EBITDA guidance of more than $650 million, with a trailing price-to-earnings ratio of 17.4 per stockanalysis.com. All balances date from 1 August, ahead of third-quarter cash generation.
In analyst Ruslan Averin's reading, roughly half the quote is a portfolio of cash, eBay equity and a bitcoin claim, while the other half is a game retailer converting itself into a collectibles merchant — priced at a multiple that assumes double-digit collectibles growth continues.
Insiders In, Shorts Out
Form 4 filings record Cohen buying 1,000,000 shares on 10 September at an average $20.38, 1,150,680 on 21 September at $22.94, 450,000 on 29 September near $23.47 and 700,000 on 2 October at $24.41 — 3.3 million shares for about $74.4 million, averaging $22.55. He directly holds 41,648,522 shares, roughly 8.3% of those outstanding. Director Nat Turner added 10,462 shares on 1 October.
Short sellers moved the opposite way. Stockanalysis.com counts 42.67 million shares short, 9.25% of the float, against 56.99 million a month earlier, with 4.3 days to cover. MarketWatch tallied about 67.8 million, 16.6% of the float, in September 2025. This advance reflects positions being closed rather than trapped.
The Bid That Never Returned
No fresh offer exists. The standing proposal remains the $125-a-share cash-and-stock bid of 3 May, part of the $56 billion approach eBay's board rejected that month, citing financing, combined leverage and Cohen's incentives. Cohen has since dropped a bonus plan the board disliked.
Speaking to the Financial Times on 19 July, he said: "I want to own eBay — that's all I've been thinking about," suggesting eBay's board may "wait till the annual meeting." GameStop's last deal communication with the SEC is dated 20 July, and the 10-Q still flags the proposed acquisition as a risk. At $112.19, eBay sits 10% under the offer price.
What Could Break
Concentration tops the list: every $10 swing in eBay shifts the stake by about $434 million, or $0.86 per GameStop share, flowing straight through net income. The legacy business keeps contracting — video game sales fell 46.8% year on year. Dilution is live, with 55.5 million shares issued in September, up to 59 million more possible from the warrants and $2.8 billion of converts outstanding. The bitcoin receivable adds counterparty exposure, and any revived bid still needs financing eBay has already dismissed.
